Terms

Last updated 15 September 2026. These terms are between you and VSQRD, Inc. They apply to everyone who uses the VSQRD Portal. Where your organization has a signed agreement with VSQRD that says something different, that agreement governs.

The short version

The VSQRD Portal is where a sponsor and a CRO work together: the request, the confidentiality agreement, the proposal, and then the study. We provide the workspace. We are not a party to what your organization agrees with another one, and we do not run studies. Your content is yours; we use it only to run the portal, and we keep the record honest.

Who these terms are for

"You" means a person using the portal. "Your organization" means the sponsor or CRO you use it for. "We" and "VSQRD" mean VSQRD, Inc.

By signing in, you agree to these terms. By setting your organization up, accepting an invitation, or accepting an agreement in the portal, you confirm you are allowed to act for your organization, and it agrees to these terms too. You must be 18 or older.

The portal

Sponsors write requests for studies and put them to CROs. CROs keep a profile of what they do and have done, ask questions, and send proposals. Once a study is awarded, both sides share one workspace for its contract, timeline, updates, and delivered files.

We set each organization up and approve it by hand. Approval means we are satisfied an organization is who it says it is. It is not a recommendation, and we do not check what an organization says about itself, its facilities, its certifications, or its past studies. Decide who to work with as you would anywhere else.

What you agree with each other

Confidentiality agreements, proposals, prices, awards, contracts, and the studies themselves are between your organization and the other one. VSQRD is not a party to any of them and is not responsible for whether either side keeps its word. When you accept an agreement in the portal, you accept it for your organization, and the portal keeps the name you typed, the time, your IP address, and your browser as the record of that acceptance, visible to both sides.

Your account and your organization

  • Sign in only as yourself, and keep your sign-in to yourself. Tell us at once if you think someone else has it.
  • Your organization's owners decide who is in it and what each person can do. Your organization is responsible for what its people do in the portal.
  • Keep your organization's profile true. Do not claim work, certifications, or people you do not have.

We may decline to approve an organization, and we may suspend an account or an organization that breaks these terms or puts others at risk. We will say why, unless the law or someone's safety stops us.

Your content

  • What your organization puts into the portal stays your organization's. We claim no ownership of it.
  • You let us store, copy, display, and send it only as needed to run the portal: to show it to the people and organizations the portal's rules allow, and to keep it safe.
  • We do not use it to train AI models, sell it, or show it to anyone the portal's rules do not allow. How we handle personal data is set out in our privacy policy, which is part of these terms.
  • Only upload what you have the right to share. Treat what another organization shares with you as your agreement with it requires.

What we ask you not to do

  • Do not try to get around access controls, reach what you have not been given, or collect other organizations' information in bulk. If you find a weakness, tell us; we will thank you for it.
  • Do not pretend to be someone else, or another organization.
  • Do not upload anything unlawful, harmful, or that you have no right to use, including malicious files.
  • Do not use the portal to send unwanted messages, or overload it with automated traffic.
  • Do not copy, resell, or reverse engineer the portal itself.

What we promise

  • We run the portal with care, keep it secure, and keep encrypted backups.
  • We keep the record of who did what intact. It cannot be edited or deleted afterwards, by anyone, including us.
  • We tell the organizations on the portal before we change anything that matters, including these terms and the privacy policy.
  • We tell your organization promptly if we learn of a security incident affecting its data.

What we do not promise

We provide software, not laboratory services, scientific review, or legal or regulatory advice. We do not promise that a request will find a CRO, that a study will succeed or pass inspection, that what an organization says about itself is true, or that the portal will never be interrupted. To the extent the law allows, the portal is provided as it is, without warranties of any kind, and VSQRD is not liable for indirect or consequential losses, lost profits, or anything that happens between organizations. To the extent the law allows, VSQRD's total liability to you and your organization is limited to the greater of what your organization paid VSQRD in the twelve months before the claim and US$100. Nothing here limits liability that the law does not allow to be limited.

The software

We own the portal and the materials that come with it. You may use it for your organization's work under these terms. Our name and marks are ours; please do not use them without asking.

Ending

You can stop using the portal at any time, and your organization's owners can remove you. We may close an account or an organization that breaks these terms. A closed account is deactivated, not erased: your name stays on what you did, because other people rely on that record. If your organization leaves, ask us for a copy of its data. Some things stay after an organization leaves, as the privacy policy explains: the record of who did what, and accepted agreements.

Changes to these terms

If we change these terms in a way that matters, we will tell the organizations on the portal at least 30 days before the change takes effect, and the date at the top of this page will change. Using the portal after that date means you accept the change.

Law and disputes

These terms are governed by the laws of the State of Delaware, and any dispute is heard in the state or federal courts located in Delaware. If something goes wrong, write to us first; most things are fixed by a conversation.
