Terms

Last updated 27 August 2026. These terms apply to everyone who uses a VSQRD deployment. Your organization also has a written agreement with VSQRD; where that agreement is more specific, it governs.

The short version

VSQRD is laboratory software, installed separately for each customer. Your organization has agreed to commercial terms with us in writing; these pages set out what you, as someone using the system, can expect from us and what we ask of you. Your data is yours. We keep it safe, we keep the record honest, and we do not use it for anything but running the service for you.

Who these terms are for

"You" means a person using a VSQRD deployment. "We" means VSQRD. "Your organization" means the customer whose deployment you are using.

By signing in, you agree to these terms. If you are signing in on behalf of an organization, you confirm you are allowed to. You must be 18 or older.

The service

VSQRD is a laboratory information management system: it keeps the record of studies, samples, results, documents, and the people who worked on them, and it keeps that record in the form regulated work requires. Each customer runs its own deployment, with its own database, upgraded on its own schedule.

For each deployment we produce a validation package describing what the system does and the evidence that it does it. Qualifying the system for its intended use inside your organization's quality system, and meeting the regulations that apply to your work, remains your organization's responsibility. We build the tool to make that straightforward; we do not run your laboratory.

Your account

A few things we ask of you:

  • Sign in only as yourself. Your organization's identity provider issues your login; do not share it, and tell your organization at once if you think someone else has it.
  • Your electronic signature is yours. When you sign something in VSQRD, you are asked to prove who you are again at that moment, and the signature carries the same weight as your handwritten one. Do not sign on someone else's behalf, and do not let anyone sign on yours.
  • If you create an access key for an automated tool or agent, you are responsible for what that tool does with it. Keys can read and, if you allow it, write; they can never sign, never approve other keys, never manage people, and never make a decision your lab has marked as restricted. Revoke a key the moment you stop trusting it.

We may suspend an account that is being misused, and will tell your organization when we do.

Your data is yours

Everything your organization puts into its deployment belongs to your organization:

  • We claim no ownership of it. We use it only to provide the service, to keep it secure, and to support you, and for nothing else.
  • We do not use your data to train models, to build products for anyone else, or to benchmark you against others.
  • You can take your data out. Records export in open, documented formats, and the audit record exports with its chain so it can be verified.
  • How we handle personal data is set out in our privacy policy, which these terms include.

Where your organization works with human biological samples, the consent those samples arrived under stays in force. The system will not let a sample be used beyond its consent, and neither may you.

What we ask you not to do

Use VSQRD for the laboratory work it is built for, and:

  • Do not try to get around access controls, probe for weaknesses, or reach data you have not been given access to. If you find a weakness, tell us; we will thank you for it.
  • Do not try to alter or erase the audit record, or to pass off a change as someone else's.
  • Do not upload material you do not have the right to use, or anything unlawful.
  • Do not try to re-identify a person from coded or de-identified sample data.
  • Do not use the system to send unwanted messages, or to overload it with automated traffic beyond what your organization's agreement allows.
  • Do not copy, resell, or reverse engineer the software itself, other than as your organization's agreement permits.

Your organization's agreement may set further rules; where it does, they apply to you too.

The assistant

Some deployments include an assistant inside the workbench. It can read records you are allowed to see and propose changes, but it changes nothing on its own: every write waits for a person to approve it, and the record names that person as the actor. That person is you when you click approve. Read what it proposes before you approve it, the way you would read a colleague's draft. The assistant can be wrong, and the approval is yours, not its.

What we promise

Our side of the arrangement:

  • We run the deployment, keep it secure, and keep encrypted backups.
  • We keep the audit record intact. It is written once and cannot be edited or deleted afterwards, by anyone, including us.
  • We tell your organization before we change anything that matters: these terms, the privacy policy, or how the system behaves in a way that affects validated use.
  • We tell your organization promptly if we learn of a security incident affecting its data.
  • Service levels, support hours, maintenance windows, and upgrade schedules are set in your organization's agreement; each deployment upgrades on its own schedule, and never silently.

What we do not promise

We provide software, not laboratory services or regulatory advice. We do not promise that any particular study will pass inspection, that results are scientifically correct, or that the system fits a purpose your organization has not qualified it for. Except as your organization's agreement says otherwise, the service is provided as described here and in the validation package, and our liability to your organization is limited as that agreement sets out. Nothing here limits liability that the law does not allow to be limited.

The software

We own the VSQRD software and the materials that come with it. Your organization's agreement gives it, and through it you, the right to use the software for the organization's work. Customizations built for your organization are covered by that agreement. Our name and marks are ours; please do not use them without asking.

Ending

Your organization can end its agreement with us as that agreement provides, and can close your account at any time. If the agreement ends, we return your organization's data in full, in open formats, and keep it only for as long as the agreement and the law require before deleting it. A closed account is deactivated rather than erased: your name stays on the records you signed and the changes you made, because that is what a record is.

Changes to these terms

If we change these terms in a way that matters, we will tell your organization at least 30 days before the change takes effect, and the date at the top of this page will change. If your organization does not accept a change, it may end its agreement as that agreement provides. Continuing to use the service after the date a change takes effect means you accept it.

Law and disputes

These terms are governed by the law, and any dispute is heard in the place, named in your organization's agreement with us. If something goes wrong, write to us first; most things are fixed by a conversation.
